1.1 Unless the context requires otherwise, references to the singular include the plural.
In these Terms of Business the following definitions apply:
“Applicant” – means the person introduced by Annapurna HR Ltd to the Client for an Engagement including any officer or employee of the Applicant if the Applicant is a limited company and members of Annapurna HR’s own staff;
“Client” – means the person, firm or corporate body together with any subsidiary or associated Company as defined by the Companies Act 1985 to which the Applicant is introduced;
“Annapurna HR” – means Annapurna HR Limited of 57 Southwark St, London SE1 1RU. Annapurna Executive, Annapurna ERUPT, Annapurna IT and Annapurna Change are trading names of Annapurna HR Ltd
“Engagement” – means the engagement, employment or use of the Applicant by the Client or any third party on a permanent or temporary basis, whether under a contract of service or for services; under an agency, licence, franchise or partnership agreement; or any other engagement; directly or through a limited company of which the Applicant is an officer or employee;
“Fee Structure” – means the structure for payment of Annapurna HR’s fee as set out in the attached Schedule;
“Introduction” – means (i) the Client’s interview of an Applicant in person or by telephone, following the Client’s instruction to Annapurna HR to search for an Applicant; or (ii) the passing to the Client of a curriculum vitae or information which identifies the Applicant; and which leads to an Engagement of that Applicant;
“Remuneration” – includes base salary or fees (and any increase thereof), guaranteed and/or anticipated bonus and commission earnings, allowances, inducement payments, the benefit of a company car and all other payments and taxable (and, where applicable, non-taxable) emoluments payable to or receivable by the Applicant for services rendered to or on behalf of the Client. Where the Client provides a company car, a notional amount of £4,000 will be added to the salary in order to calculate Annapurna HR’s fee.
1.2 Unless the context requires otherwise, references to the singular include the plural.
1.3 The headings contained in these Terms of Business are for convenience only and do not affect their interpretation.
2.1 These Terms constitute the contract between Annapurna HR and the Client and are deemed to be accepted by the Client by virtue of an Introduction to, or the Engagement of an Applicant or the passing of any information about the Applicant to any third party following an Introduction.
2.2 These Terms contain the entire agreement between the parties and unless otherwise agreed in writing by a director of Annapurna HR, these Terms of Business prevail over any other terms of business or purchase conditions put forward by the Client.
2.3 No variation or alteration to these Terms shall be valid unless the details of such variation are agreed between Annapurna HR and the Client and are set out in writing and a copy of the varied terms is given to the Client stating the date on or after which such varied terms shall apply.
3.1 The Client agrees:
(a) To notify Annapurna HR immediately of any offer of an Engagement which it makes to the Applicant;
(b) To notify Annapurna HR immediately that its offer of an Engagement to the Applicant has been accepted and to provide details of the Remuneration to Annapurna HR; and
(c) To pay the Annapurna HR fee within 14 days of the date of invoice.
3.2 Except in the circumstances set out in clause 5.1 below, no fee is incurred by the Client until the Applicant signs the Client’s Contract of Employment, when Annapurna HR will render an invoice to the Client for its fees.
3.3 Annapurna HR reserves the right to charge interest on invoiced amounts unpaid for more than 14 days at the rate of 8% per annum above the base lending rate from time to time of the Bank of England from the due date until the date of payment.
3.4 The fee payable to Annapurna HR by the Client for an Introduction resulting in an Engagement is calculated in accordance with the fee structure applicable during the first 12 months of the Engagement. VAT will be charged on the fee if applicable.
3.5 In the event that the Engagement is for a fixed term of less than 12 months, the fee in clause 3.4 will apply pro-rata. The minimum duration for any fixed term Engagement will be 3 months. If the Engagement is extended beyond the initial fixed term or if the Client re-engages the Applicant within 6 calendar months from the date of termination of the first Engagement the Client shall be liable to pay to Annapurna HR a further fee based on the additional Remuneration applicable for the period of Engagement following the initial fixed term up to the termination of the second Engagement or the first anniversary of its commencement, whichever is the sooner.
3.6 If the Client subsequently engages or re-engages the Applicant within the period of 6 calendar months from the date of termination of the Engagement or withdrawal of the offer, a full fee calculated in accordance with clause 3.4 becomes payable.
3.7 There will be a minimum fee of £4,000 for any permanent or interim placement.
3.8 For the avoidance of doubt, should the Client hire any Applicant directly for any position and without Annapurna’s knowledge following an “Introduction” by Annapurna, an invoice will be issued immediately at 35% rates.
3.9 Retained search clauses
3.9.1 Annapurna HR Ltd will invoice the Client an agreed “full fee” in three portions: 1/3 of the agreed fee +VAT upon commencement of work, 1/3 of fee + VAT on presentation of “long list”, and the final 1/3 of fee + VAT on contract signature of successful candidate.
3.9.2 A “long list” is defined as an initial presentation of CVs made and sent by Annapurna HR Ltd to the client
3.9.3 The final fee portion will be sent on signing of contract by the appointed candidate
3.9.4 For any further appointments made by the Client through any retained search, a full fee + VAT will be liable for placement.
3.9.5 Any direct application or referral will be forwarded on by the Client to Annapurna HR Ltd for screening. A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any placement made of such candidate.
3.9.6 Any application made via a third party of agency will be forwarded to Annapurna HR Ltd by the Client for screening. A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any placement made of such candidate.
3.9.7 A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any candidate identified by Annapurna HR Ltd during the search and then subsequently hired by the Client at any point in the future.
3.9.8 Where a role is cancelled or put on hold then a full fee (as per 3.9.1) will be charged by Annapurna HR Ltd to the Client.
3.9.9 All expenses for travel, meetings and any other expenses incurred by Annapurna HR Ltd, or its candidates will be paid on invoice by the Client.
3.9.10 Any additional costs for candidate assessment will be paid by the Client.
3.9.11 Any costs for advertising, TV, multi-media production or campaigns will be paid by the Client.
3.9.12 Annapurna HR Ltd will charge a fee based on 40 per cent of total (+VAT) compensation of the candidate’s full total first year remuneration. This remuneration total to include salary, car allowance, territorial allowance, bonus, benefits, pension, first year long term incentives and any other quantifiable financial reward.
3.9.13 In the event a client makes an offer which is accepted by the candidate by writing on email, if the contract has not been sent within 2 working days, Annapurna will be able to invoice as though the contract has been signed.
4.1 In order to qualify for the following refund, the Client must pay Annapurna HR’s fee within 14 days of the date of invoice, must notify Annapurna HR in writing of the termination of the Engagement within 7 days of its termination and the Engagement must be for a duration of 12 months or longer
4.2 If the Engagement terminates before the expiry of 8 weeks from the commencement of the Engagement (except where the Applicant is made redundant or where the Applicant is no longer employed for reasons beyond Annapurna HR’s control such as restructuring, company closure, change of management or substantial change from the original job description) a refund of 12.5% will be allowed against Annapurna HR’s fee for each complete week of the initial 8 week period not worked by the Applicant.
4.3 In circumstances where clause 3.6 applies the full fee stated in clause 3.4 is payable and there shall be no entitlement to a refund.
5.1 If, after an offer of Engagement has been made to the Applicant, the Client decides for any reason to withdraw it, the Client shall be liable to pay Annapurna HR a minimum fee of 10% of the Remuneration where the annual Remuneration is £20,000 or less and 15% of the Remuneration where the annual Remuneration is £20,001 or more.
6.1 Introductions of Applicants are confidential. The disclosure by the Client to a third party of any details regarding an Applicant introduced by Annapurna HR which results in an Engagement with that third party within 6 months of the Introduction renders the Client liable to payment of Annapurna HR’s fees as set out in clause 3.4 with no entitlement to any refund.
6.2 An introduction fee calculated in accordance with clause 3.4 will be charged in relation to any Applicant engaged as a consequence of or resulting from an introduction by or through Annapurna HR, whether direct or indirect, within 6 months from the date of Annapurna HR’ Introduction.
6.3 Where the amount of the actual Remuneration is not known Annapurna HR will charge a fee calculated in accordance with clause 3.4 on the minimum level of remuneration applicable for the position in which the Applicant has been engaged with regard to any information supplied to Annapurna HR by the Client and/or comparable positions in the market generally for such positions.
7.1 Annapurna HR endeavours to ensure the suitability of any Applicant introduced to the Client by obtaining confirmation of the Applicant’s identity; that the Applicant has the experience, training, qualifications and any authorisation which the Client considers necessary or which may be required by law or by any professional body; and that the Applicant is willing to work in the position which the Client seeks to fill.
7.2 At the same time as proposing an Applicant to the Client Annapurna HR shall inform the Client of such matters in clause 7.1 as they have obtained confirmation of. Where such information is not given in paper form or by electronic means it shall be confirmed by such means by the end of the third business day (excluding Saturday, Sunday and any public or Bank holiday) following save where the Applicant is being proposed for a position which is the same as one in which the Applicant has worked within the previous five business days and such information has already been given to the Client.
7.3 Annapurna HR endeavours to take all such steps as are reasonably practicable to ensure that the Client and Applicant are aware of any requirements imposed by law or any professional body to enable the Applicant to work in the position which the Client seeks to fill.
7.4 Annapurna HR endeavours to take all such steps as are reasonably practicable to ensure that it would not be detrimental to the interests of either the Client or the Applicant for the Applicant to work in the position which the Client seeks to fill.
7.5 Notwithstanding clauses 7.1, 7.2, 7.3 and 7.4 above the Client shall satisfy itself as to the suitability of the Applicant and the Client shall take up any references provided by the Applicant to it or Annapurna HR before engaging such Applicant. The Client is responsible for obtaining work permits and/or such other permission to work as may be required, for the arrangement of medical examinations and/or investigations into the medical history of any Applicant, and satisfying any medical and other requirements, qualifications or permission required by law of the country in which the Applicant is engaged to work.
7.6 To enable Annapurna HR to comply with its obligations under clauses 7.1, 7.2, 7.3 and 7.4 above the Client undertakes to provide to Annapurna HR details of the position which the Client seeks to fill, including the type of work that the Applicant would be required to do; the location and hours of work; the experience, training, qualifications and any authorisation which the Client considers necessary or which are required by law or any professional body for the Applicant to possess in order to work in the position; and any risks to health or safety known to the Client and what steps the Client has taken to prevent or control such risks. In addition the Client shall provide details of the date the Client requires the Applicant to commence, the duration or likely duration of the work; the minimum rate of remuneration, expenses and any other benefits that would be offered; the intervals of payment of remuneration and the length of notice that the Applicant would be entitled to give and receive to terminate the employment with the Client.
8.1 Where the Applicant is required by law, or any professional body to have any qualifications or authorisations to work in the position which the Client seeks to fill; or the work involves caring for or attending one or more persons under the age of eighteen, or any person who by reason of age, infirmity or who is otherwise in need of care or attention, Annapurna HR will take all reasonably practicable steps to obtain and offer to provide copies of any relevant qualifications or authorisations of the Applicant, two references from persons not related to the Applicant who have agreed that the references they provide may be disclosed to the Client and has taken all reasonably practicable steps to confirm that the Applicant is suitable for the position. If Annapurna HR is unable to do any of the above it shall inform the Client of the steps it has taken to obtain this information in any event.
9.1 Annapurna HR shall not be liable under any circumstances for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or in any way connected with Annapurna HR seeking an Applicant for the Client or from the Introduction to or Engagement of any Applicant by the Client or from the failure of Annapurna HR to introduce any Applicant and Annapurna HR shall have no responsibility or liability vicariously or otherwise for the Applicant save that for the avoidance of doubt, Annapurna HR does not exclude liability for death or personal injury arising from its own negligence.
10.1 Annapurna HR is entitled to assign, charge or otherwise deal with the benefit and burden of these Terms on giving notice to the Client.
10.2 Whilst the parties consider these Terms to be reasonable in all the circumstances, it is agreed that if any one or more of the terms is considered to go beyond what is reasonable in all the circumstances to protect the legitimate interests of Annapurna HR but would be adjudged reasonable if any particular term were deleted such wording may be deleted restricted or limited to give effect to the remainder of the Terms so that each clause may be considered separate and distinct.
10.3 During the period of any Engagement or for a period of 12 months from the date on which that Engagement ends, the Client shall not:
10.4 In the event that the Client should breach the obligations to which it is subject pursuant to clause 10.3, it agrees to pay to Annapurna HR, by way of agreed liquidated and ascertained damages the sum of £100,000. The Client agrees that this is a genuine pre-estimation of Annapurna HR’s loss, given the expense it will incur in recruiting and training a replacement for any employee who leaves its employment and such loss as it will suffer as a consequence of the employee’s services being acquired by the Client and no longer generating revenue for Annapurna HR.
10.5 The agreement between the parties as to liquidated damages to be paid pursuant to 10.4 shall not restrain or in any way limit the right of Annapurna to seek any other remedy to which it is entitled from the Client for breach of the obligations to which it is subject pursuant to 10.3.
11.1 These Terms are governed by the law of England and Wales and are subject to the exclusive jurisdiction of the Courts of England and Wales.

5.1 If, after an offer of Engagement has been made to the Applicant, the Client decides for any reason to withdraw it, the Client shall be liable to pay Annapurna HR a minimum fee of 10% of the Remuneration where the annual Remuneration is 22,000 kr/€ (or the equivalent currency in a 1:1 calculation in the respective currency) or less and 15% of the Remuneration where the annual Remuneration is 22,001 kr/€ (or the equivalent currency in a 1:1 calculation in the respective currency) or more.

8.1 Where the Applicant is required by law, or any professional body to have any qualifications or authorisations to work in the position which the Client seeks to fill; or the work involves caring for or attending one or more persons under the age of eighteen, or any person who by reason of age, infirmity or who is otherwise in need of care or attention, Annapurna HR will take all reasonably practicable steps to obtain and offer to provide copies of any relevant qualifications or authorisations of the Applicant, two references from persons not related to the Applicant who have agreed that the references they provide may be disclosed to the Client and has taken all reasonably practicable steps to confirm that the Applicant is suitable for the position. If Annapurna HR is unable to do any of the above it shall inform the Client of the steps it has taken to obtain this information in any event.
9.1 Annapurna HR shall not be liable under any circumstances for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or in any way connected with Annapurna HR seeking an Applicant for the Client or from the Introduction to or Engagement of any Applicant by the Client or from the failure of Annapurna HR to introduce any Applicant and Annapurna HR shall have no responsibility or liability vicariously or otherwise for the Applicant save that for the avoidance of doubt, Annapurna HR does not exclude liability for death or personal injury arising from its own negligence.
10.1 Annapurna HR is entitled to assign, charge or otherwise deal with the benefit and burden of these Terms on giving notice to the Client.
10.2 Whilst the parties consider these Terms to be reasonable in all the circumstances, it is agreed that if any one or more of the terms is considered to go beyond what is reasonable in all the circumstances to protect the legitimate interests of Annapurna HR but would be adjudged reasonable if any particular term were deleted such wording may be deleted restricted or limited to give effect to the remainder of the Terms so that each clause may be considered separate and distinct.
10.3 During the period of any Engagement or for a period of 12 months from the date on which that Engagement ends, the Client shall not:
10.4 In the event that the Client should breach the obligations to which it is subject pursuant to clause 10.3, it agrees to pay to Annapurna HR, by way of agreed liquidated and ascertained damages the sum of £100,000. The Client agrees that this is a genuine pre-estimation of Annapurna HR’s loss, given the expense it will incur in recruiting and training a replacement for any employee who leaves its employment and such loss as it will suffer as a consequence of the employee’s services being acquired by the Client and no longer generating revenue for Annapurna HR.
10.5 The agreement between the parties as to liquidated damages to be paid pursuant to 10.4 shall not restrain or in any way limit the right of Annapurna to seek any other remedy to which it is entitled from the Client for breach of the obligations to which it is subject pursuant to 10.3.
11.1 These Terms are governed by the law of England and Wales and are subject to the exclusive jurisdiction of the Courts of England and Wales.

1.1 Unless the context requires otherwise, references to the singular include the plural.
In these Terms of Business the following definitions apply:
“Applicant” – means the person introduced by Annapurna HR Ltd to the Client for an Engagement including any officer or employee of the Applicant if the Applicant is a limited company and members of Annapurna HR’s own staff;
“Client” – means the person, firm or corporate body together with any subsidiary or associated Company as defined by the Companies Act 1985 to which the Applicant is introduced;
“Annapurna HR” – means Annapurna HR Limited of 57 Southwark St, London SE1 1RU. Annapurna Executive, Annapurna ERUPT, Annapurna IT and Annapurna Change are trading name of Annapurna HR Ltd
“Engagement” – means the engagement, employment or use of the Applicant by the Client or any third party on a permanent or temporary basis, whether under a contract of service or for services; under an agency, licence, franchise or partnership agreement; or any other engagement; directly or through a limited company of which the Applicant is an officer or employee;
“Fee Structure” – means the structure for payment of Annapurna HR’s fee as set out in the attached Schedule;
“Introduction” – means (i) the Client’s interview of an Applicant in person or by telephone, following the Client’s instruction to Annapurna HR to search for an Applicant; or (ii) the passing to the Client of a curriculum vitae or information which identifies the Applicant; and which leads to an Engagement of that Applicant;
“Remuneration” – includes base salary or fees (and any increase thereof), guaranteed and/or anticipated bonus and commission earnings, allowances, inducement payments, the benefit of a company car and all other payments and taxable (and, where applicable, non-taxable) emoluments payable to or receivable by the Applicant for services rendered to or on behalf of the Client. Where the Client provides a company car, a notional amount of $4,000 will be added to the salary in order to calculate Annapurna HR’s fee.
1.2 Unless the context requires otherwise, references to the singular include the plural.
1.3 The headings contained in these Terms of Business are for convenience only and do not affect their interpretation.
2.1 These Terms constitute the contract between Annapurna HR and the Client and are deemed to be accepted by the Client by virtue of an Introduction to, or the Engagement of an Applicant or the passing of any information about the Applicant to any third party following an Introduction.
2.2 These Terms contain the entire agreement between the parties and unless otherwise agreed in writing by a director of Annapurna HR, these Terms of Business prevail over any other terms of business or purchase conditions put forward by the Client.
2.3 No variation or alteration to these Terms shall be valid unless the details of such variation are agreed between Annapurna HR and the Client and are set out in writing and a copy of the varied terms is given to the Client stating the date on or after which such varied terms shall apply.
3.1 The Client agrees:
(a) To notify Annapurna HR immediately of any offer of an Engagement which it makes to the Applicant;
(b) To notify Annapurna HR immediately that its offer of an Engagement to the Applicant has been accepted and to provide details of the Remuneration to Annapurna HR; and
(c) To pay the Annapurna HR fee within 14 days of the date of invoice.
3.2 Except in the circumstances set out in clause 5.1 below, no fee is incurred by the Client until the Applicant signs the Client’s Contract of Employment, when Annapurna HR will render an invoice to the Client for its fees.
3.3 Annapurna HR reserves the right to charge interest on invoiced amounts unpaid for more than 14 days at the rate of 8% per annum above the base lending rate from time to time of the Bank of England from the due date until the date of payment.
3.4 The fee payable to Annapurna HR by the Client for an Introduction resulting in an Engagement is calculated in accordance with the fee structure applicable during the first 12 months of the Engagement. VAT will be charged on the fee if applicable.
3.5 In the event that the Engagement is for a fixed term of less than 12 months, the fee in clause 3.4 will apply pro-rata. The minimum duration for any fixed term Engagement will be 3 months. If the Engagement is extended beyond the initial fixed term or if the Client re-engages the Applicant within 6 calendar months from the date of termination of the first Engagement the Client shall be liable to pay to Annapurna HR a further fee based on the additional Remuneration applicable for the period of Engagement following the initial fixed term up to the termination of the second Engagement or the first anniversary of its commencement, whichever is the sooner.
3.6 If the Client subsequently engages or re-engages the Applicant within the period of 6 calendar months from the date of termination of the Engagement or withdrawal of the offer, a full fee calculated in accordance with clause 3.4 becomes payable.
3.7 There will be a minimum fee of $4,000 for any permanent or interim placement.
3.8 For the avoidance of doubt, should the Client hire any Applicant directly for any position and without Annapurna’s knowledge following an “Introduction” by Annapurna, an invoice will be issued immediately at 35% rates.
3.9 Retained search clauses
3.9.1 Annapurna HR Ltd will invoice the Client an agreed “full fee” in three portions: 1/3 of the agreed fee +VAT upon commencement of work, 1/3 of fee + VAT on presentation of “long list”, and the final 1/3 of fee + VAT on contract signature of successful candidate.
3.9.2 A “long list” is defined as an initial presentation of CVs made and sent by Annapurna HR Ltd to the client
3.9.3 The final fee portion will be sent on signing of contract by the appointed candidate
3.9.4 For any further appointments made by the Client through any retained search, a full fee + VAT will be liable for placement.
3.9.5 Any direct application or referral will be forwarded on by the Client to Annapurna HR Ltd for screening. A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any placement made of such candidate.
3.9.6 Any application made via a third party of agency will be forwarded to Annapurna HR Ltd by the Client for screening. A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any placement made of such candidate.
3.9.7 A full fee (as per 3.9.1) will be charged by Annapurna HR Ltd for any candidate identified by Annapurna HR Ltd during the search and then subsequently hired by the Client at any point in the future.
3.9.8 Where a role is cancelled or put on hold then a full fee (as per 3.9.1) will be charged by Annapurna HR Ltd to the Client.
3.9.9 All expenses for travel, meetings and any other expenses incurred by Annapurna HR Ltd, or its candidates will be paid on invoice by the Client.
3.9.10 Any additional costs for candidate assessment will be paid by the Client.
3.9.11 Any costs for advertising, TV, multi-media production or campaigns will be paid by the Client.
3.9.12 Annapurna HR Ltd will charge a fee based on 40 per cent of total (+VAT) compensation of the candidate’s full total first year remuneration. This remuneration total to include salary, car allowance, territorial allowance, bonus, benefits, pension, first year long term incentives and any other quantifiable financial reward.
3.9.13 In the event a client makes an offer which is accepted by the candidate by writing on email, if the contract has not been sent within 2 working days, Annapurna will be able to invoice as though the contract has been signed.
4.1 In order to qualify for the following refund, the Client must pay Annapurna HR’s fee within 14 days of the date of invoice, must notify Annapurna HR in writing of the termination of the Engagement within 7 days of its termination and the Engagement must be for a duration of 12 months or longer
4.2 If the Engagement terminates before the expiry of 4 weeks from the commencement of the Engagement (except where the Applicant is made redundant or where the Applicant is no longer employed for reasons beyond Annapurna HR’s control such as restructuring, company closure, change of management or substantial change from the original job description) a refund of 25% will be allowed against Annapurna HR’s fee for each complete week of the initial 4 week period not worked by the Applicant.
4.3 In circumstances where clause 3.6 applies the full fee stated in clause 3.4 is payable and there shall be no entitlement to a refund.
5.1 If, after an offer of Engagement has been made to the Applicant, the Client decides for any reason to withdraw it, the Client shall be liable to pay Annapurna HR a minimum fee of 10% of the Remuneration where the annual Remuneration is $20,000 or less and 15% of the Remuneration where the annual Remuneration is $20,001 or more.
6.1 Introductions of Applicants are confidential. The disclosure by the Client to a third party of any details regarding an Applicant introduced by Annapurna HR which results in an Engagement with that third party within 6 months of the Introduction renders the Client liable to payment of Annapurna HR’s fees as set out in clause 3.4 with no entitlement to any refund.
6.2 An introduction fee calculated in accordance with clause 3.4 will be charged in relation to any Applicant engaged as a consequence of or resulting from an introduction by or through Annapurna HR, whether direct or indirect, within 6 months from the date of Annapurna HR’ Introduction.
6.3 Where the amount of the actual Remuneration is not known Annapurna HR will charge a fee calculated in accordance with clause 3.4 on the minimum level of remuneration applicable for the position in which the Applicant has been engaged with regard to any information supplied to Annapurna HR by the Client and/or comparable positions in the market generally for such positions.
7.1 Annapurna HR endeavours to ensure the suitability of any Applicant introduced to the Client by obtaining confirmation of the Applicant’s identity; that the Applicant has the experience, training, qualifications and any authorisation which the Client considers necessary or which may be required by law or by any professional body; and that the Applicant is willing to work in the position which the Client seeks to fill.
7.2 At the same time as proposing an Applicant to the Client Annapurna HR shall inform the Client of such matters in clause 7.1 as they have obtained confirmation of. Where such information is not given in paper form or by electronic means it shall be confirmed by such means by the end of the third business day (excluding Saturday, Sunday and any public or Bank holiday) following save where the Applicant is being proposed for a position which is the same as one in which the Applicant has worked within the previous five business days and such information has already been given to the Client.
7.3 Annapurna HR endeavours to take all such steps as are reasonably practicable to ensure that the Client and Applicant are aware of any requirements imposed by law or any professional body to enable the Applicant to work in the position which the Client seeks to fill.
7.4 Annapurna HR endeavours to take all such steps as are reasonably practicable to ensure that it would not be detrimental to the interests of either the Client or the Applicant for the Applicant to work in the position which the Client seeks to fill.
7.5 Notwithstanding clauses 7.1, 7.2, 7.3 and 7.4 above the Client shall satisfy itself as to the suitability of the Applicant and the Client shall take up any references provided by the Applicant to it or Annapurna HR before engaging such Applicant. The Client is responsible for obtaining work permits and/or such other permission to work as may be required, for the arrangement of medical examinations and/or investigations into the medical history of any Applicant, and satisfying any medical and other requirements, qualifications or permission required by law of the country in which the Applicant is engaged to work.
7.6 To enable Annapurna HR to comply with its obligations under clauses 7.1, 7.2, 7.3 and 7.4 above the Client undertakes to provide to Annapurna HR details of the position which the Client seeks to fill, including the type of work that the Applicant would be required to do; the location and hours of work; the experience, training, qualifications and any authorisation which the Client considers necessary or which are required by law or any professional body for the Applicant to possess in order to work in the position; and any risks to health or safety known to the Client and what steps the Client has taken to prevent or control such risks. In addition, the Client shall provide details of the date the Client requires the Applicant to commence, the duration or likely duration of the work; the minimum rate of remuneration, expenses and any other benefits that would be offered; the intervals of payment of remuneration and the length of notice that the Applicant would be entitled to give and receive to terminate the employment with the Client.
8.1 Where the Applicant is required by law, or any professional body to have any qualifications or authorisations to work in the position which the Client seeks to fill; or the work involves caring for or attending one or more persons under the age of eighteen, or any person who by reason of age, infirmity or who is otherwise in need of care or attention, Annapurna HR will take all reasonably practicable steps to obtain and offer to provide copies of any relevant qualifications or authorisations of the Applicant, two references from persons not related to the Applicant who have agreed that the references they provide may be disclosed to the Client and has taken all reasonably practicable steps to confirm that the Applicant is suitable for the position. 1. Einleitung
1.1 Diese Bedingungen gelten für die von Annapurna Recruitment GmbH (im Folgenden: “ANNAPURNA Recruitment”) erbrachten Personalbeschaffungsleistungen unter Ausschluss sämtlicher anderer Bedingungen. Diese Geschäftsbedingungen gelten auch für alle künftigen Geschäfte, soweit es sich um solche gleiche Art handelt und von ANNAPURNA Recruitment keine neuen Geschäftsbedingungen vorgelegt worden Sollte der Kunde entgegenstehende oder von diesen Geschäftsbedingungen abweichende eigene Geschäftsbedingungen verwenden, so werden diese nicht anerkannt. Etwas anderes gilt nur dann, wenn die Geltung der Geschäftsbedingungen des Kunden individuell vereinbart worden sind.
1.2 Wenn der Kunde eine Kopie dieser Bedingungen von ANNAPURNA Recruitment erhalten hat, gelten diese Bedingungen als verbindlich vereinbart, wenn der Kunde eine der folgenden Maßnahmen unternimmt:
1.3 Es wird davon ausgegangen, dass ANNAPURNA Recruitment dem Kunden einen Kandidaten im Sinne dieser Bedingungen “vorgestellt” hat, wenn eines der folgenden Ereignisse eintritt:
1.4 Dies gilt selbst dann, wenn dem Kunden der Kandidat ganz grundsätzlich bereits bekannt ist (einschließlich über soziale Medien), sofern die Einstellung des Kandidaten von dem Kunden nicht bereits aktiv betrieben wird und sofern der Kunde von dem Kandidaten im Vorfeld keine persönliche Bewerbung auf die vakante Position erhalten hat. Sollte der Kunde im Zeitpunkt der Tätigkeitsaufnahme von ANNAPURNA Recruitment eine Einstellung des Kandidaten bereits aktiv betreiben bzw. betrieben haben oder hat sich der Kandidat bei dem Kunden auf die vakante Position bereits selbst beworben, so hat der Kunde ANNAPURNA Recruitment innerhalb von 4 Werktagen hierüber schriftlich (per E-Mail ist ausreichend) in Kenntnis zu setzen. Auf gesonderte Aufforderung von ANNAPURNA Recruitment ist der Kunde verpflichtet, einen überprüfbaren Nachweis über die bereits laufende Einstellung im Zeitpunkt der Vorstellung des Kandidaten durch ANNAPURNA Recruitment zu erbringen (Vorkenntniseinwand). ANNAPURNA Recruitment weist hiermit darauf hin, dass es ausschließlich dem Kunden obliegt zu prüfen, ob der Kandidat bereits im Vorfeld von einer anderen Partei vorgestellt worden ist bzw. sich bereits persönlich auf die konkrete Position beworben hat.
1.5 Es wird davon ausgegangen, dass der Kunde einen Kandidaten im Sinne dieser Bedingungen „eingestellt“ hat, wenn ein Anstellungs- oder Beschäftigungsverhältnis (einschließlich einer Beschäftigung als freier Mitarbeiter) mit dem Kandidaten eingegangen wurde bzw. ein Angebot eines Anstellungs- oder Beschäftigungsverhältnisses erfolgt ist, im Rahmen dessen der entsprechende Kandidat unmittelbar oder über einen Dritten Leistungen für den Kunden zu erbringen hat.
1.6 Wenn der Kunde einen Kandidaten innerhalb von 6 Monaten nach der Vorstellung durch ANNAPURNA Recruitment einstellt, hat ANNAPURNA Recruitment Anspruch auf eine Vergütung, die auf dergleichen Grundlage wie im Falle einer Vorstellung gemäß Zifferer 3 ermittelt wird. ANNAPURNA Recruitment weist den Kunden hiermit darauf hin, dass ein Anspruch auf eine Vergütung für eine Vorstellung auch dann besteht, wenn die Rolle oder die Aufgaben, die vom Kandidaten zu leisten oder zu erfüllen sind, von der Rolle und den Aufgaben die ANNAPURNA Recruitment ursprünglich mitgeteilt wurden, abweichen. Etwas anderes gilt nur dann, wenn sich die Rolle oder die Aufgaben, die vom Kandidaten zu leisten oder zu erfüllen sind, erheblich (zu mehr als 70%) und dauerhaft von denjenigen unterscheiden, die der Kunde ursprünglich mitgeteilt hat. Hierfür ist der Kunde ANNAPURNA Recruitment gegenüber nachweispflichtig.
2. Bereitstellung von Rekrutierungdiensten – Pflichten des Kunden und Pflichten von ANNAPURNA Recruitment
2.1 ANNAPURNA Recruitment wird für den Kunden nach Kandidaten suchen, welche die Anforderungen des Kunden erfüllen, um die offene(n) Stellen zu Der Erfolg von ANNAPURNA Recruitment hängt dabei maßgeblich davon ab, wie detailliert der Kunde ANNAPURNA Recruitment seine (Mindest-)Anforderungen an die zu besetzende(n) Position(en), die Ausbildung und die erwarteten persönlichen Anforderungen an den/die Kandidaten mitteilt. Es gehört daher zu den Pflichten des Kunden ANNAPURNA Recruitment die (Mindest-)Anforderungen so detailliert wie möglich im Vorfeld mitzuteilen. Der Kunde ist ebenso verpflichtet, ANNAPURNA Recruitment im Vorfeld den avisierten Vergütungsrahmen bestehend aus einem Mindest- Bruttojahresgehalt inklusive aller Nebenleistungen und einem Bruttogehalt (inklusive aller Nebenleistungen) mitzuteilen, dass der Kunde maximal bereit ist für den / die gesuchten Kandidaten im Jahr zu zahlen.
2.2 Der Kunde ist alleine für die Entscheidung über die Einstellung eines Kandidaten und für die vertraglichen Vereinbarungen zwischen ihm und dem Kandidaten verantwortlich. Der Kunde ist weiterhin verpflichtet, sämtliche gesetzlichen Vorgaben in Bezug auf den Schutz personenbezogener Daten der von ANNAPURNA Recruitment vorgestellten Kandidaten zu beachten.
2.3 ANNAPURNA Recruitment wird sich eigenverantwortlich in angemessenem Umfang bemühen, nach Aufforderung des Kunden jeweils geeignete Kandidaten zu ermitteln und dem Kunden diese vorzustellen. Dabei wird ANNAPURNA Recruitment die (Mindest-)Anforderungen des Kunden selbstverständlich in angemessenem Umfang beachten, sofern und soweit der Kunde ANNAPURNA Recruitment diese im Vorfeld mitgeteilt hat.
2.4 ANNAPURNA Recruitment wird sich ferner bemühen, dem Kunden nur solche Kandidaten vorzustellen, welche die vom Kunden mitgeteilten (Mindest-)Anforderungen tatsächlich erfüllen, die ANNAPURNA Recruitment gegenüber ein Interesse an der entsprechenden Position glaubhaft gemacht haben und die aus Sicht von ANNAPURNA Recruitment objektiv dafür geeignet sind.
3. Gebühren
3.1 Der Kunde wird ANNAPURNA Recruitment eine Vergütung für jeden vorgestellten und von dem Kunden eingestellten Kandidaten zahlen (ausgenommen im Falle der Rücknahme eines Einstellungsangebots wegen der vollständigen Nichteignung des Kandidaten). Die Vergütung für jeden vermittelten Kandidaten wird nach Maßgabe der nachfolgenden Tabelle berechnet:

(Neben der Bruttogrundvergütung beinhaltet die Jahresvergütung des Kandidaten auch Boni, Provisionen, den geldwerten Vorteil eines Dienstwagens, Arbeitgeberbeiträge zur betrieblichen Altersversorgung etc.; ist der geldwerte Vorteil eines Dienstwagens nicht bezifferbar, wird dieser geldwerte Vorteil mit €4.000 brutto pro Jahr pauschal eingerechnet).
In jedem Fall ist jedoch bei einer erfolgreichen Vermittlung eine Mindestvergütung in Hohe von €4.000 geschuldet.
3.2 Der Kunde ist verpflichtet, ANNAPURNA Recruitment innerhalb von 7 Tagen nach der Einstellung eines Kandidaten die vollständigen Angaben zum Entgelt eines Kandidaten schriftlich (per E-Mail ist ausreichend) mitzuteilen. Kommt der Kunde dieser Verpflichtung nicht nach, so wird ANNAPURNA Recruitment die Vergütung wie folgt berechnen:
Es bleibt dem Kunden in jedem Fall nach Zugang der Abrechnung vorbehalten, ANNAPURNA Recruitment binnen 7 Werktagen nachzuweisen, dass die zwischen dem Kunden und dem von ANNAPURNA Recruitment vorgestellten Kandidaten vereinbarte Vergütung tatsächlich geringer ist, als die von ANNAPURNA Recruitment nach Maßgabe der vorstehenden Regelung als Berechnungsgrundlage der Vergütung genutzte maximale Jahresvergütung. Nach entsprechendem Nachweis ist der Kunde lediglich verpflichtet, die Vergütung zu zahlen, die sich aus dem tatsächlich vereinbarten Gehalt errechnet. ANNAPURNA Recruitment bleibt das Recht vorbehalten, eine Nachforderung zu erheben, sollte sich herausstellen, dass der Kunde mit dem von ihm eingestellten Kandidaten für das erste Jahr seiner Beschäftigung tatsächlich eine Vergütung vereinbart haben, die über der zu Grunde gelegten Vergütung liegt. Die Regelung des § 655 BGB findet Anwendung.
3.3 Nachdem der Kandidat den Arbeitsvertrag angenommen und unterzeichnet hat (bzw. zu jedem Zeitpunkt danach, wenn das Entgelt während des ersten Jahres nach der Einstellung angehoben wird), wird ANNAPURNA Recruitment eine Rechnung über die Vergütung ausstellen. Entsprechende Gehaltserhöhungen sind vom Kunden unaufgefordert unverzüglich mitzuteilen.
3.4 Wird ein Kandidat für eine befristete Dauer von weniger als einem Jahr eingestellt, so wird die zu zahlende Vergütung dennoch nach Maßgabe der vorstehenden Regelungen berechnet, die dem Kandidaten zu zahlende Vergütung also auf ein Jahresbruttogrundgehalt (inkl. aller Nebenleistungen) hochgerechnet. Die Vergütung wird dann auf Grundlage der vorstehenden Prozentwerte berechnet. Die Regelung des § 655 BGB findet Anwendung. Von der vorstehenden Regelung kann einvernehmlich in einer gesonderten individuellen Vereinbarung (also nicht in allgemeinen Geschäftsbedingungen) abgewichen werden, wobei die entsprechenden Konditionen im Einzelfall konkret zu vereinbaren und zu beziffern sind. In der individuellen Vereinbarung ist auf diese Regelung Bezug zu nehmen.
3.5 Wird ein vorgestellter Kandidat als freier Mitarbeiter oder über ein Unternehmen des Kandidaten beschäftigt, so gilt abweichend von Absatz 1 folgende Vergütungsregelung („Margin-Only“):
ANNAPURNA Recruitment erhält von dem Kunden für jeden vermittelten Kandidaten eine Vergütung in Höhe von 35% der an den Kandidaten oder dessen Unternehmen vom Kunden für die gesamte Laufzeit des entsprechenden Vertrages gezahlten Tagessätze.
Die (anteilige) Vergütung ist am Ende eines Kalendermonats zur Zahlung fällig und wird zu diesem Zeitpunkt von ANNAPURNA Recruitment abgerechnet. Der Kunde hat ANNAPURNA Recruitment entsprechende prüffähige Nachweise der dem Kandidaten geschuldeten Betrage rechtzeitig im Vorhinein für die Abrechnung zur Verfügung zu stellen.
Die Regelung des § 655 BGB findet Anwendung. Im Übrigen gelten die vorstehenden Regelungen entsprechend.
3.6 Falls ein Kandidat innerhalb der ersten 8 Wochen nach Arbeitsaufnahme aus dem Beschäftigungsverhältnis ausscheidet (sei es durch Kündigung, Anfechtung oder Aufhebungsvertrag), wird ANNAPURNA Recruitment 12,5 % der gezahlten Vergütung für jede Woche innerhalb der ersten 8 Wochen erstatten, in denen der Kandidat nicht gearbeitet Dies gilt nur, wenn alle nachfolgenden Bedingungen erfüllt sind:
4. Verpflichtungen des Kunden
4.1 Der Kunde verpflichtet sich, ANNAPURNA Recruitment sämtliche Informationen zur Verfügung zu stellen, die für die Besetzung der Position(en) bedeutsam sind oder bedeutsam sein könnten. Der Kunde ist ferner verpflichtet, die überlassenen Informationen zu aktualisieren, wenn sich insoweit Änderungen ergeben sollten.
4.2 Der Kunde ist ferner verpflichtet, ANNAPURNA Recruitment unverzüglich über die Einstellung eines Kandidaten oder die Verwendung von auf den Kandidaten bezogenen und von ANNAPURNA Recruitment übergebenen Informationen in Kenntnis zu setzen.
4.3 Im Rahmen des Suchprozesses wird ANNAPURNA Recruitment dem Kunden Zeugnisse und andere Information von – aus Sicht von ANNAPURNA Recruitment geeigneten – Kandidaten zur Verfügung Neben der Einhaltung sämtlicher datenschutzrechtlicher Vorgaben in diesem Zusammenhang ist der Kunde verpflichtet, die überlassenen Dokumente zu prüfen. In diesem Zusammenhang ist der Kunde auch verpflichtet zu prüfen, ob der/die vorgesteIIte(n) Kandidat(en) in der Bundesrepublik Deutschland eingesetzt werden kann/können, insbesondere ob es einer Aufenthalts- und Arbeitserlaubnis für eine Tätigkeit in der Bundesrepublik Deutschland bedarf und ob der/die Kandidat(en) die dafür erforderlichen Qualifikationen (z.B. anerkannte Ausbildung/anerkannten Hochschulabschluss) besitzt/besitzen. Dem Kunden ist bekannt, dass ANNAPURNA Recruitment diese Prüfung nicht vornimmt und ANNAPURNA Recruitment sich insoweit allein auf die Angaben des/der Kandidaten verlässt.
4.4 Der Kunde erkennt an, dass es nicht den Aufgaben von ANNAPURNA Recruitment gehört, die Richtigkeit der ANNAPURNA Recruitment von einem Kandidaten überlassen Informationen/Dokumente/Zeugnisse/Aufenthaltstitel zu überprüfen und dass ANNAPURNA Recruitment keine Haftung für übermittelte falsche, unzureichende oder unvollständige Unterlagen/Informationen des Kandidaten übernimmt. Dies gilt selbstverständlich nicht, wenn ANNAPURNA Recruitment die Unrichtigkeit der Dokumente/Informationen positiv bekannt ist.
4.5 Der Kunde ermächtigt ANNAPURNA Recruitment, Kandidaten nach Maßgabe des Anforderungsprofils nach eigenem freiem Ermessen zu beschaffen und vorzustellen.
4.6 Der Kunde sichert zu, dass es keine Umstände in Bezug auf die zu verrichtende Arbeit oder die Beauftragung gibt, die dazu führen können, dass für den Kandidaten oder für ANNAPURNA Recruitment ein Nachteil irgendeiner Art Der Kunde wird ANNAPURNA Recruitment unverzüglich schriftlich (per E-Mail ist ausreichend) darüber in Kenntnis setzen, falls ihm solche Umstände bekannt werden sollten.
5. Vertraulichkeit
5.1 ANNAPURNA Recruitment und der Kunde werden vertrauliche Informationen der jeweils anderen Partei geheim halten und sie ohne die vorherige Zustimmung der jeweils anderen Partei (vorbehaltlich Ziffer 5.2) keinem Dritten offenbaren. ANNAPURNA Recruitment und der Kunde werden die vertraulichen Informationen der jeweils anderen Partei zum Zwecke der Erzielung der Vorteile aus den Leistungen bzw. zu deren Erbringung verwenden. Die vertraulichen Informationen von ANNAPURNA Recruitment umfassen diese Bedingungen und die Vergütung, wobei der Kunde insbesondere die Vergütung von ANNAPURNA Recruitment mit keinem Kandidaten besprechen wird.
5.2 ANNAPURNA Recruitment ist berechtigt, vertraulichen Informationen des Kunden gegenüber Kandidaten, potenziellen Kandidaten, eigenen Mitarbeitern, Vertretern oder Unterauftragnehmern zur Erbringung der Leistungen mitzuteilen, wobei ANNAPURNA Recruitment jedoch sicherstellen wird, dass diese Personen durch zweckdienliche Vertraulichkeitsvereinbarungen verpflichtet werden.
6. Haftung
6.1 Nichts in diesen Bedingungen schränkt die Haftung von ANNAPURNA Recruitment oder dem Kunden für Personenschäden oder Tod infolge von Fahrlässigkeit, in Bezug auf vorsätzliche oder grob fahrlässige Pflichtverletzungen ein oder schließt diese aus.
6.2 ANNAPURNA Recruitment wird dem Kunden geeignete und dem Anforderungsprofil entsprechende Kandidaten vorstellen. ANNAPURNA Recruitment gibt dabei diejenigen Informationen weiter, die von dem jeweiligen Kandidaten überlassen worden sind, prüft diese jedoch nicht ANNAPURNA Recruitment gibt keine eigenen Erklärungen oder Zusicherungen hinsichtlich der Eignung oder Verfügbarkeit des Kandidaten ab und übernimmt keine Haftung bezüglich Forderungen, die der Kandidat gegenüber dem Kunden bzw. der Kunde gegenüber dem Kandidaten erheben. Es ist allein Aufgabe des Kunden zu prüfen, ob ein vorgestellter Kandidat den gestellten Anforderungen entspricht.
6.3 Vorbehaltlich Ziffer 6.1, jedoch unbeschadet der Einschränkung in Ziffer 6.4, ist weder ANNAPURNA Recruitment noch der Kunde haftbar für:
6.4 Vorbehaltlich Ziffer 6.1, wird die Gesamthaftung von ANNAPURNA Recruitment gegenüber dem Kunden aus oder in Zusammenhang mit diesem Vertrag im Falle leichter Fahrlässigkeit auf einen Wert von maximal EUR 100.000,- je Schadensfall begrenzt. Dies gilt nicht, wenn es sich um eine Verletzung einer vertragswesentlichen Pflicht i.S.d. 307 Abs. 2 Nr. 2 BGB handelt.
6.5 Die vorstehenden Haftungsausschlüsse und Beschränkungen gelten in gleichem Umfang zugunsten der Organe, gesetzlichen Vertreter, Angestellten und sonstigen Erfüllungsgehilfen von ANNAPURNA Recruitment.
6.6 Der Kunde ist verpflichtet, ANNAPURNA Recruitment bezüglich sämtlicher Forderungen Dritter gegenüber ANNAPURNA Recruitment (einschließlich von Kandidaten), die auf dem Versäumnis des Kunden geltende Gesetze einzuhalten oder der Verletzung von Einstellungsbedingungen bezüglich eines dem Kunden von ANNAPURNA Recruitment vorgestellten Kandidaten zurückzuführen sind, zu entschädigen.
6.7 Weder ANNAPURNA Recruitment noch der Kunde werden der jeweils anderen Partei gegenüber für eine Verzögerung oder Verständnis der Erfüllung ihrer Pflichten haftbar sein, wenn dies auf Umstände außerhalb des vertretbaren Einflusses der erfüllenden Partei zurückzuführen ist.
7. Abwerbungsverbot
7.1 ANNAPURNA Recruitment wird einen Kandidaten, den ANNAPURNA Recruitment vorgestellt und den der Kunde direkt eingestellt hat, für eine Dauer von 12 Monaten nach dem Datum der ersten Vorstellung nicht in die Dienste von ANNAPURNA Recruitment selbst oder die Dienste eines Dritten abwerben und dies auch nicht versuchen.
Der Kunde wird Mitarbeiter von ANNAPURNA Recruitment oder Vertragspartner, mit denen der Kunde im Laufe der Leistungserbringung zu tun hatte, während der Leistungserbringung und für 12 Monate danach, nicht in seine Dienste abwerben und dies auch nicht versuchen. Wenn der Kunde diese Bestimmung verletzt, hat er ANNAPURNA Recruitment einen Betrag entsprechend einer Transfergebühr für den entsprechenden Mitarbeiter zu zahlen, die sich entsprechend der Regelung unter Ziffer 3. dieses Vertrages berechnet.
8. Datenschutz
8.1 Der Kunde sichert zu, dass die Verarbeitung von personenbezogenen Daten des Kandidaten durch den Kunden nicht gegen Datenschutzgesetze verstoßen wird.
8.2 ANNAPURNA Recruitment sichert zu, dass ANNAPURNA Recruitment das gesetzliche Recht hat, alle personenbezogenen Daten mitzuteilen, die dem Kunden tatsächlich im Verlauf der Leistungen mitgeteilt werden, und dass die Verarbeitung der personenbezogenen Daten durch ANNAPURNA Recruitment für die Zwecke der Leistungen Datenschutzgesetze nicht verletzen wird.
9. Zahlungsbedingungen
9.1 Sämtliche von ANNAPURNA Recruitment an den Kunden zu berechnenden Forderungen gelten exklusive USt, sind in EUR innerhalb von 14 Tagen ab dem Rechnungsdatum auf das jeweils von ANNAPURNA Recruitment mitgeteilte Bankkonto zu zahlen. Verrechnungen und Aufrechnungen mit Gegenforderungen sind nur mit rechtskräftig festgestellten oder unstreitigen Gegenforderungen zulässig, im Übrigen sind sie ausgeschlossen.
9.2 Die Forderungen von ANNAPURNA Recruitment werden mit 9 Prozentpunkten über dem geltenden Basiszins verzinst. Die Geltendmachung darüberhinausgehender Verzögerungsschaden bleibt ausdrücklich vorbehalten.
9.3 Die Forderungen von ANNAPURNA Recruitment bleiben unbeschadet einer Beendigung dieses Vertrages oder der Leistungserbringung zahlbar.
9.4 Die rechtzeitige Zahlung der Rechnungen, gemäß den Bestimmungen dieser Ziffer 9., ist von wesentlicher Bedeutung.
9.5 Der Kunde ist dafür verantwortlich, alle angemessenen Ausgaben, Kosten und Prozesskosten in Bezug auf Gerichtsverfahren zur Beitreibung überfälliger Beträge zu erstatten, und zwar ungeachtet dessen, ob Gerichtsverfahren tatsächlich eröffnet werden.
10. Änderungen
Änderungen und Ergänzungen dieser Bedingungen aufgrund individueller Vereinbarungen (also nicht in kollidierenden allgemeinen Geschäftsbedingungen) sind jederzeit möglich. Im Übrigen bedürfen Änderungen der Schriftform, dies gilt auch für die Aufhebung dieses Schriftformerfordernisses.
11. Teilnichtigkeit
Falls eine dieser Bedingungen von einem Gericht als undurchführbar befunden wird, so bleiben die übrigen Bedingungen wirksam. Wenn eine undurchführbare Bedingung als entfernbar betrachtet wird, ohne die Absicht der Parteien zu beeinträchtigen, so gilt lediglich dieser Teil als entfernt.
12. Vollständige Vereinbarung / Ersetzung vorangegangener Vereinbarungen / Vertragssprache
Diese Bedingungen und die Bestätigungsaufstellung stellen die gesamte Vereinbarung zwischen den Parteien in Bezug auf die zu erbringenden Leistungen dar und ersetzen alle vorangegangenen Vereinbarungen, Absprachen und Abreden zwischen den Parteien in Bezug auf den Vertragsgegenstand. Die deutsche Vertragssprache ist allein verbindlich. Die englische Übersetzung dient ausschließlich Informationszwecken und hat keinerlei rechtliche Wirkung. Im Falle unterschiedlicher Auslegung der vorstehenden Texte in deutscher und in englischer Sprache ist die deutsche Fassung maßgeblich.
13. Geltenden Recht und Gerichtsstand
Diese Vereinbarung unterliegt deutschem Recht und es sind ausschließlich die Gerichte in München zuständig.
14. Definitionen
14.1 “Kunde” — sind alle Unternehmen, Firmen oder Personen, denen ANNAPURNA Recruitment Rekrutierungsdienste bereitstellt (eingeschlossen etwaige Tochtergesellschaften, verbundene Unternehmen und angeschlossene Gesellschaften / LLPs.)
14.2 “ANNAPURNA Recruitment” — ANNAPURNA Recruitment GmbH, Franz-Joseph-Straße 11, 80801 München, Deutschland, registriert im Handelsregister München unter der Registernummer HRB 225557.
Standard Terms of Business
Supply of Contractor Services to Clients
1. Definitions
1.1 In these Terms –
“Agency Worker” means Representative who works temporarily for and under the supervision and direction of Client and/or End User, as is further defined within the AWR;
“Alternative Hire Period” means the period agreed within Contractor Schedule;
“Assignment” means the period during which Contractor renders the Services;
“AWR” means the Agency Workers Regulations 2010 (as amended);
“Candidate” means the person or company introduced by Employment Business to Client for an Engagement including, but not limited to, any officer or employee of Candidate if Candidate is a limited company, any member or employee of Candidate if Candidate is a limited liability partnership, and members of Employment Business’s own staff;
“Client” means the person, firm or corporate body together with any subsidiary or associated company (as defined by s. 1159 of the Companies Act 2006) to whom Employment Business supplies or introduces Candidate and/or Contractor;
“Client Group” means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;
“Conduct Regulations” means the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (as amended);
“Contractor” means the company who provide the Services;
“Contractor Schedule” means the schedule provided by Employment Business to Client confirming the details relating to Assignment; “Data Controller” means “controller” in accordance with the General Data Protection Regulation (EU) 2016/;
“Data Protection Legislation” means all applicable laws and regulations, as amended or updated from time to time, in the United Kingdom relating to data protection, the processing of personal data and privacy, including without limitation, (a) the Data Protection Act 2018; (b) the General Data Protection Regulation (EU) 2016/679; (c) the Privacy and Electronic Communications (EC Directive) Regulations 2003 (as may be amended by the proposed Regulation on Privacy and Electronic Communications); and (d) any legislation that replaces or converts into United Kingdom law the General Data Protection Regulation (EU) 2016/679, the proposed Regulation on Privacy and Electronic Communications or any other law relating to data protection, the processing of personal data and privacy resulting from the United Kingdom leaving the European Union;
“End User” means the company with whom Client has an agreement and who is the recipient of the Services;
“Engagement” means the engagement, employment or use of Candidate and/or Contractor by Client, by Client Group or by any third party to whom or to which Candidate and/or Contractor was introduced by Client (whether with or without Employment Business’s knowledge or consent) on a permanent or temporary basis, whether under a contract of service or for services; under an agency, license, franchise or partnership agreement; or through any other engagement directly or through a limited company of which Candidate is an officer or employee or through a limited liability partnership of which Candidate and/or Contractor is a member or employee; or indirectly through another employment business or company which holds itself out as such and “Engages” and “Engaged” will be construed accordingly;
“Introduced” means –
a) Client’s interview of a Candidate in person or by telephone or by any other audio or visual means; or
b) the passing to Client of a curriculum vitæ or information about Candidate;
whichever is earlier and “Introduces” and “Introduction” will be construed accordingly;
“Off-Payroll” means amendments to Chapter 8; and Chapter 10, Part 2 of Income Tax (Earnings and Pensions) Act 2003;
“Opted-Out” means the notice given by Contractor and Representative in accordance with regulation 32(9) of the Conduct Regulations; “Personal Data” means as set out in, and will be interpreted in accordance with Data Protection Legislation;
“Personal Data Breach” means the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, Personal Data transmitted, stored or otherwise Processed in connection with these Terms or which relates to any Candidate and, where applicable, to any Representative;
“Process” means as set out in, and will be interpreted in accordance with Data Protection Legislation and “Processed” and “Processing” will be construed accordingly;
“Qualifying Period” means as defined within regulation 7 of the AWR;
“Quarantine Period” means the “relevant period” as set out within regulation 10(5) of the Conduct Regulations, or the period stated within Contractor Schedule where Contractor has Opted-Out of the Conduct Regulations;
“Remuneration” means basic salary, shift or weighting allowances, guaranteed and/or anticipated bonus and commission earnings, car allowance and any other benefit or allowance;
“Representative” means employee, officer or representative of Contractor, specified in Contractor Schedule who renders the Services on behalf of Contractor;
“Services” means the services to be performed by Representative on behalf of Contractor pursuant to these Terms, as described in Contractor Schedule;
“Terms” means these terms of business and will include any Contractor Schedule issued pursuant to these terms of business; and
“Transfer Fee” means the fee set out within Contractor Schedule.
2. These Terms
2.1 These Terms are effective from date of issue to Client and supersede all previous terms of business issued by Employment Business.
2.2 These Terms will be deemed to be accepted by Client and to apply by virtue of (a) the passing of information about a Candidate to Client by Employment Business or (b) an Introduction to Client of, or the Engagement by Client of, a Candidate or (c) Client’s interview or request to interview a Candidate (including interview by video conferencing or by telephone) or (d) the signature by Client on a timesheet relating to services provided by Contractor or (e) Client’s signature at the end of these Terms or (f) any other written, expressed acceptance of these Terms. For the avoidance of doubt, these Terms apply whether or not Candidate is Engaged by Client for the same type of work as that for which the Introduction was originally effected.
2.3 These Terms contain the entire agreement between the parties in relation to the subject matter hereof and, unless otherwise agreed in writing, these Terms prevail over any previous terms of business, agreement or any purchase conditions put forward by Client.
2.4 For the purposes of these Terms, Employment Business acts as an employment business as defined within the Conduct Regulations.
2.5 Client authorises Employment Business to act on its behalf in seeking Candidates and, if Client so requests, will advertise for Candidates through such methods as are agreed with Client.
2.6 Where there is a conflict of provisions between the main body of these terms of business and Contractor Schedule, the main body of these terms of business will take precedence save where expressly provided for within the clauses herein or agreed as a variation set out within Contractor Schedule.
2.7 Headings contained in these Terms are for reference purposes only and will not affect the intended meanings of the clauses to which they relate.
2.8 Unless the context otherwise requires, references to the singular include the plural and feminine includes masculine and vice versa.
3. Client Obligations
3.1 Client agrees to, and where applicable will ensure End User will, be responsible for providing the working environment for Representative and any necessary resources, tools and facilities, save where and to the extent Client agrees that such resources are to be provided by Contractor.
3.2 These Terms are personal to Client and will not be assigned by it without the prior written consent of Employment Business. For the avoidance of doubt, this restriction includes any assignment to any subsidiary, associated company or member of Client’s group.
3.3 Client undertakes to provide Employment Business with details of any specific health and safety risks in relation to the Services and Assignment, together with details of any steps taken to prevent or control such risks.
3.4 Client shall ensure that Representative works in a safe environment in accordance with a safe system of work. Client agrees to indemnify and keep indemnified Employment Business from and against all loss or liability suffered or incurred by Employment Business as a result of any claim by Contractor and/or Representative arising out of any injury or damage to his/her person or property suffered in the course of performing the Services.
3.5 Client undertakes to confirm in writing to Employment Business –
a) the date upon which Candidate is required to commence the provision of the Services;
b) the expected duration of the Engagement;
c) the nature of and/or specifics of the services required to be provided by Candidate;
d) the location/s Candidate is expected to deliver the Services;
e) details of any applicable End User;
f) the number of hours/days and any specific time-keeping and recording requirements Client expects of Contractor;
g) any experience, training, qualifications, professional body authorisations that Client, the law or professional body requires Candidate to possess to provide the Services;
h) any expenses payable by or to Candidate;
i) any site regulations, IT access/security/usage policies, health and safety procedures and any other procedures or policies Client (or End User) requires Candidate to adhere to and will provide copies of any such policies/procedure to Employment Business;
j) any health and safety risks and any steps taken to address those risks; and
k) whether Off-Payroll applies to it.
3.6 Client undertakes to notify Employment Business immediately of its, or of Client Group’s, or of End User’s, intention to –
a) engage a Candidate Introduced by Employment Business; or
b) extend Assignment of Representative or otherwise Engage directly or indirectly a Candidate/Representative Introduced and/or supplied via Employment Business; or
c) engage a Candidate and/or Representative on a permanent, contract or temporary basis or otherwise (including through another recruitment agency, employment business or limited company).
3.7 Where the AWR applies to Assignment, Client warrants that it will, from the start of Assignment, provide Agency Worker with –
a) information about relevant vacant posts with Client, or with End User where applicable; and
b) save where objectively justifiable, access to any and all collective facilities and amenities,
in the same manner as if Agency Worker were a direct worker or employee of Client, or of End User where applicable.
3.8 Upon request from Employment Business, Client undertakes to provide (without delay) to Employment Business accurate information about the working and employment conditions that are applicable to Client (or applicable to End User where relevant) whether by contract or by collective agreement or otherwise and shall include subsequent variations thereto, that relate to the Client’s (or to End User’s) employees and direct workers including (without limitation) –
a) the standard terms and conditions that apply to their employees and those that apply to their workers;
b) details relating to the application and calculation of, pay scales, bonuses, commission, overtime, shift allowance, unsocial hours allowance, hazardous duties, holiday pay, other related emoluments;
c) entitlements relating to annual leave, night work, rest periods, rest breaks;
d) benefits of monetary value including, without limitation, vouchers and stamps; and
e) any other information as may be required by Employment Business to comply with the AWR.
3.9 Where the AWR applies to Assignment, Client agrees that it will, upon request from Employment Business and without delay, provide accurate details relating to the working and employment conditions (as defined within regulation 5(2) and regulation 6 of the AWR) of Client’s (or of End User’s as is applicable) workers and/or employees who undertake the same or broadly similar work as that of Agency Worker during Assignment.
3.10 Where the AWR applies to Assignment and where applicable pursuant to information obtained under clause 3.9 above, Client will, and where applicable will ensure that End User will, apply the same or similar process as applied to assess Pay that is directly attributable to the amount or quality of the work done by Agency Worker. For the purposes of this clause “Pay” means as defined in regulation 6(2) of the AWR.
3.11 Where the AWR applies to Assignment and Agency Worker is pregnant, Client acknowledges and agrees that, following the Qualifying Period, Client will, and where applicable will procure that End User will, permit Agency Worker time off to attend ante-natal medical appointments and ante-natal classes.
3.12 Where the AWR applies to Assignment, Client acknowledges and agrees that, following the Qualifying Period and whereupon Agency Worker is unable to continue to provide some or all of the Services on maternity grounds due to reasons of health and safety, Client will, and where applicable will procure that End User will, undertake to make such reasonable adjustments as are necessary to allow Agency Worker to continue providing services for the duration of Assignment. For the avoidance of doubt, such reasonable adjustments will include provision of alternative work on terms no less favourable than those applicable during Assignment.
3.13 Client undertakes and agrees to immediately notify Employment Business where an Agency Worker has worked for Client/End User in the same or similar role as Assignment where, prior to the planned commencement of Assignment, such role is within the Qualifying Period.
3.14 Client warrants and undertakes that it will not, and where applicable will procure that End User will not, seek to deny Agency Worker’s entitlement to rights under the AWR by virtue of the structure of assignments and shall at all times comply with regulation 9 of the AWR.
3.15 Where Off-Payroll applies to Client and Services are in scope, Client undertakes and agrees to assess the working practices of Services to be provided during Assignment and to provide Employment Business with its status determination and the reasons for the decision in writing prior to the commencement of Assignment and to comply with the statutory requirements to notify Representative.
3.16 Where Off-Payroll applies to Client or applies to End User, Client undertakes and agrees to provide any information reasonably requested at any time by Employment Business promptly in order to assist Employment Business to comply with Off-Payroll.
3.17 Client undertakes and agrees to notify Employment Business in the event of changes to information provided under clauses 3.15 or 3.16 that occur during the term of Assignment.
3.18 Client warrants and undertakes that all information it provides to Employment Business under these Terms is true and accurate.
3.19 Client warrants to comply with its statutory obligations to provide a status disagreement process and to use best endeavours to resolve status determination disagreements equitably.
3.20 Client warrants to comply with its statutory obligation to, upon request by Employment Business, confirm its size under Off-Payroll.
3.21 Client undertakes and agrees to notify Employment Business where the client is based wholly overseas as defined under Off-Payroll.
3.22 Client is under no obligation to offer further contracts or services to the Employment business or any of its Contractors, nor is any Contractor under any obligation to accept any contract or services offered. For the avoidance of doubt, the Employment Business, Contractor and the Client agree and intend that this agreement does not create any mutuality of obligation, either during or following the agreement.
3.23 Client shall not have the right, nor shall it seek to exercise direction, control or supervision over the Contractor or its personnel. The Contractor shall ensure that their staff co-operate with any reasonable request of the client within the scope of the services, but it is acknowledged that the Contractor will be able to determine how best the services are provided and will have autonomy over their working methods.
3.24 In the event a client makes an offer which is accepted by the candidate by writing on email, if the contract has not been sent within 2 working days, Annapurna will be able to invoice as though the contract has been signed.
4. Employment Business’s Obligations
4.1 Employment Business shall use reasonable endeavours to introduce Candidates to Client who meet Client’s stated requirements.
4.2 Where Employment Business and Client have agreed that Employment Business will supply Client with the services of a particular Contractor, Employment Business will give Client a Contractor Schedule confirming the name of Contractor and Representative, the agreed pay rates/fees, duration of Assignment, description of the Services, notice periods and any other relevant details communicated and agreed between the parties.
4.3 Employment Business shall use reasonable endeavours to ensure that Contractor and Representative co-operates with Client and use best endeavours to satisfy all Client’s reasonable and lawful requirements.
4.4 Employment Business shall use reasonable endeavours to ensure that Contractor enters into an agreement which contains an obligation on Contractor and Representative in consideration of fees paid to assign to Employment Business (for onward assignment to Client) or directly to Client (as directed by Client to Employment Business), Contractor’s and Representative’s intellectual property rights of whatever nature and, if capable of registration, whether registered or not, in all documents or other material and data or other information and processes provided or created by Contractor and Representative in the provision of the Services.
4.5 Employment Business shall use reasonable endeavours to ensure that Contractor enters into an agreement which contains an obligation on Contractor and Representative to keep confidential all confidential information of Client obtained during Assignment. For the purposes of this clause 4.5, confidential information is confidential if it is clearly marked confidential or if Client states it is confidential clearly in writing to Representative.
5. Charges/Fees
5.1 Client agrees to pay Employment Business’s charges for the Introduction of and for the services of Contractors/Candidates that are calculated as Contractors’/Candidates’ charge rate plus a service fee of 35% on Contractors/Candidates charge rate, unless otherwise set out in the relevant Contractor Schedule.
5.2 Signature by Client (or by End User where applicable) of timesheets or other verification of hours or days worked is confirmation of the amount of time worked by Representative and of satisfaction with the Services provided. Failure to sign/authorise the timesheet does not absolve Client of its obligation to pay the charges for the Services provided by Representative on behalf of Contractor.
5.3 If Client is unable to sign a timesheet (or other agreed method of verification of hours/days) produced for authentication by Representative because Client disputes the amount of time claimed, then Client will notify Employment Business within two working days from the presentation to the client of the claimed hours/days for verification and will co-operate fully and in a timely fashion with Employment Business, including providing documentary evidence of the hours/days worked by Representative, to enable Employment Business to establish what periods of time, if any, Representative worked.
5.4 With reference to clause 3.11, where such time off to attend ante-natal medical appointments and ante-natal classes falls within the normal working periods of Agency Worker during Assignment, Client agrees to pay Employment Business’s charges, in accordance with clause 5.1, for such periods whether by inclusion of such time on a timesheet or otherwise.
5.5 There are no refunds or rebates payable by Employment Business to Client (or to Client Group or, for the avoidance of doubt, End User) in respect of Employment Business’s charges.
5.6 Client agrees to pay Employment Business all reasonable business expenses incurred by Contractor/Representative in the provision of the Services as agreed within Contractor Schedule.
5.7 In the event notification in accordance with 3.15 is provided to Employment Business after the commencement of Assignment or in the event of information provided in accordance with clauses 3.16 and 3.17, Client agrees and accepts that Employment Business is entitled to vary its charge to Client and nature of Services in order to comply with Off-Payroll and has the right to terminate with immediate effect pursuant to Clause 7.8
5.8 VAT will be payable in addition to charges/fees.
5.9 Client acknowledges and agrees that Employment Business may, upon notice, increase the charge rate set out in under clause 5.1 (or as set out in the relevant Contractor Schedule if applicable) in order to comply with the AWR or with Off-Payroll.
5.10 Client acknowledges that it has no right to set-off, withhold or deduct monies from sums due to Employment Business under these Terms.
6. Invoices
6.1 Employment Business will raise invoices weekly (unless otherwise specified in Contractor Schedule) in respect of the charges payable and Client agrees to pay such invoices within thirty days (30) of the date of the invoice, unless otherwise specified in Contractor Schedule.
6.2 All invoices will be deemed to be accepted in full by Client unless Client notifies Employment Business in writing within five days of the amount Client disputes and the reason Client disputes that amount. In the event Client does so notify Employment Business that it wishes to dispute part of an invoice, Client agrees to pay the undisputed part of the invoice within the agreed payment terms and will co-operate fully with Employment Business in order to resolve the dispute as quickly as possible.
6.3 Employment Business reserves the right to charge interest on invoiced amounts overdue at the statutory rate as prescribed pursuant to Section 6 of the Late Payment of Commercial Debts (Interest) Act 1998 (and as may be calculated using the calculator on the website: www.payontime.co.uk) from the due date until the date payment is received in cleared funds and to charge compensation and further recovery costs in accordance with the Late Payment of Commercial Debts Regulations 2013.
7. Termination of Assignments
7.1 Client may instruct Employment Business, in writing, to end the Services of Contractor immediately in the event of substantial non-performance or unprofessional behaviour by Contractor, provided that Client provides detailed, written confirmation of the non-performance and/or misconduct.
7.2 Employment Business may end any Assignment immediately by giving Client notice in writing if Client is in material breach of these Terms.
7.3 Either party may terminate Assignment prior to the end of Assignment by giving not less than 4 weeks’ notice in writing, or such other period of notice as agreed and set out in the relevant Contractor Schedule.
7.4 When notice of termination of Assignment is served by Client, payment for each week of notice will be based on the specified hours/days agreed in Contractor Schedule or actual hours worked by Representative, whichever the greater. Client agrees to make payment in accordance with clauses 5 and 6 above irrespective of whether or not Contractor continues to provide the Services during this notice period.
7.5 In any event of termination of Assignment pursuant to clause 7.1 above, Employment Business shall use reasonable endeavours to provide an alternative Contractor and/or Representative within fourteen days that in the reasonable opinion of Employment Business is suitable to provide the Services.
7.6 These Terms may be terminated by either party by giving to the other immediate notice in the event that either Employment Business or Client goes into liquidation, becomes bankrupt or enters into an arrangement with creditors or has a receiver or administrator appointed or where Employment Business has reasonable grounds to believe Client will not pay Employment Business’s invoice within the payment terms agreed within clause 6.1.
7.7 Contractor may substitute the named Representative in the Assignment Schedule with another suitably qualified and skilled substitute with reasonable notice at its absolute discretion, provided that the Services remained as detailed in the Assignment Schedule and no delay or reduction in quality shall occur.
7.8 Employment Business may, at its absolute discretion and at any time, terminate Assignment upon immediate notice where in the opinion of Employment Business Contractor and/or Representative is no longer suitable to provide the Services, including suitability given Off Payroll status of Services.
7.9 Following termination (howsoever arising) of these Terms, the provisions contained within clauses 1, 2, 3.6, 3.8, 3.9, 3.10, 5.5, 5.6, 5.10, 6, 8, 9, 10, 11, 12, 13, 14 and 15 will continue in full force and effect.
8. Engagement of Representatives by Client or Third Parties
8.1 Subject to clause 9.1, Client agrees that when Client or Client Group or End User –
a) employs a Representative or
b) Engages a Representative, other than through Employment Business,
either during Assignment or within the Quarantine Period, Client agrees to notify Employment Business of that Engagement and agrees to pay Employment Business the Transfer Fee, which will be calculated as the candidates day rate with a 35% margin applied, and based on 26 weeks, to give the relevant total, plus VAT. No refund of the Transfer Fee will be paid in the event that the Engagement subsequently terminates. VAT is payable in addition to any fee due.
8.2 Subject to clause 9.2, where there has been an Introduction of a Candidate to Client which does not immediately result in the supply of the services of that Candidate by Employment Business to Client, but which later leads to an Engagement of Candidate by Client or by Client Group or by End User (howsoever arising) within [6 months] from the date of Introduction, Client agrees to notify Employment Business of that Engagement and agrees to pay the Transfer Fee in accordance with clause 8.1 above. VAT, where applicable, is payable in addition to any fee due.
8.3 All Introductions are confidential. If Client passes details of a Candidate and/or Contractor and/or Representative to any third party (including, for the avoidance of doubt, Client Group or End User) resulting in the Engagement of that Candidate and/or Contractor and/or Representative, then Client agrees to pay the Transfer Fee. VAT, where applicable, is payable in addition to any fee due.
8.4 Client acknowledges and agrees that where it fails to notify Employment Business of the actual Remuneration/fees it (or where applicable, Client Group or End User) intends to (directly or indirectly) pay Candidate/Representative, Employment Business will be entitled to calculate the Transfer Fee based on comparable market rates for similar roles.
8.5 For the avoidance of doubt, no refund of the Transfer Fee will be paid in the event that the Engagement subsequently terminates.
9. Alternative Hire Period
9.1 Where the Conduct Regulations apply, as an alternative to the Transfer Fee agreed in clause 8.1 Client may provide Employment Business with written notice in accordance with clause 7.3 above and to require Employment Business to supply the services of Representative to Client for a further period set out as the Alternative Hire Period within Contractor Schedule, during which period Client will pay the charges agreed pursuant to clause 5.1 above.
9.2 Where the Conduct Regulations apply, as an alternative to the Transfer Fee agreed in clause 8.2, Client may provide Employment Business with five (5) days written notice to require Employment Business to supply the services of Candidate to Client for the Alternative Hire Period agreed in Contractor Schedule, during which period Client agrees to pay the charges agreed pursuant to clause 5.1 above or where none agreed, pursuant to market rate in the sole opinion of Employment Business.
9.3 Upon completion of the entire duration of Alternative Hire Period and the payment in full of invoices relating thereto, Client may engage with Candidate/Representative directly or indirectly without any additional payment to Employment Business.
9.4 Where Client does not give such notice as required within clauses 9.1 and 9.2 above before Candidate/Representative is Engaged, Client acknowledges and agrees that Transfer Fee will become due in full to Employment Business.
9.5 Pursuant to clauses 9.1 and 9.2 above, a Contractor Schedule will be issued by Employment Business and these Terms will continue in full force and effect during the Alternative Hire Period.
9.6 In the event Candidate/Representative ceases to provide services for whatever reason during the Alternative Hire Period, Client acknowledges and agrees that the Transfer Fee will become due, minus the portion directly relating to the gross profit of Employment Business paid by Client to Employment Business during the period of the Alternative Hire Period that Candidate/Representative completed.
9.7 For the avoidance of doubt, there will be no refund of any fees or charges paid by Client to Employment Business in relation to the Alternative Hire Period and/or Transfer Fee.
10. Data Protection
10.1 For the purposes of this clause 10 “Data Subject” means as set out in, and will be interpreted in accordance with Data Protection Legislation. For the avoidance of doubt, Data Subject includes Candidate and Representative.
10.2 The parties hereto acknowledge that Employment Business is a Data Controller in respect of the Personal Data of Candidate/Representative and provides such Personal Data to Client in accordance with the Data Protection Legislation for the purposes anticipated by these Terms.
10.3 The parties hereto acknowledge that Client is a Data Controller but the parties hereto are not Joint Controllers (as defined within Data Protection Legislation) save where a specific agreement is made to that effect between the parties hereto.
10.4 The parties hereto agree that the Representative is not Client’s Data Processor (as defined within Data Protection Legislation) save where agreed otherwise within a Contractor Schedule and subject to additional terms and conditions.
10.5 The parties hereto warrant to each other that any Personal Data relating to a Data Subject, whether provided by Client, Employment Business or by Candidate or Representative, will be used, Processed and recorded by the receiving party in accordance with Data Protection Legislation.
10.6 The parties hereto will take appropriate technical and organisational measures to adequately protect all Personal Data against accidental loss, destruction or damage, alteration or disclosure.
10.7 Client will –
a) comply with the instruction of the Employment Business as regards the transfer/sharing of data between the parties hereto. If Client requires Personal Data not already in its control to be provided by Employment Business, Client will set out their legal basis for the request of such data and accept that Employment Business may refuse to share/transfer such Personal Data where, in the reasonable opinion of Employment Business, it does not comply with its obligations in accordance with Data Protection Legislation;
b) not cause Employment Business to breach any of their obligations under the Data Protection Legislation.
10.8 In the event Client becomes aware of an actual or any reasonably suspected Personal Data Breach, it will immediately notify Employment Business and will provide Employment Business with a description of the Personal Data Breach, the categories of data that was the subject of the Personal Data Breach and the identity of each Data Subject affected and any other information the Employment Business reasonably requests relating to the Personal Data Breach.
10.9 In the event of a Personal Data Breach, Client will promptly (at its own expense) provide such information, assistance and cooperation and do such things as Employment Business may request to –
a) investigate and defend any claim or regulatory investigation;
b) mitigate, remedy and/or rectify such breach; and
c) prevent future breaches.
and will provide Employment Business with details in writing of all such steps taken.
10.10 Client will not release or publish any filing, communication, notice, press release or report concerning any Personal Data Breach without the prior written approval of Employment Business.
10.11 Client agrees it will only Process Personal Data of Candidate or of Representative for the agreed purpose of provision of Services pursuant to these Terms.
10.12 Client will provide evidence of compliance with clause 10 upon request from Employment Business.
11. Liability
11.1 Employment Business shall use reasonable endeavours to ensure Representative has the required standard of skill, integrity and reliability; nevertheless, Employment Business is not liable for any loss, expense, damage or delay arising from and in connection with any failure on the part of Contractor or their Representative to perform the Services nor for any negligence whether wilful or otherwise, dishonesty, fraud, acts or omissions, misconduct or lack of skill of Contractor or of their Representative howsoever arising.
11.2 All Contractors are engaged under contracts for services. They are not the employees of Employment Business.
11.3 Client will comply, and will procure that End User will comply, in all respects with all relevant statutes, by-laws and legal requirements including provision of adequate public liability insurance in respect of Representative where appropriate. Client agrees to allow and reasonably assist Employment Business in complying with its legal obligations regarding the introduction of Candidate/s and supply of Services by Contractor/s.
11.4 Employment Business is providing resourcing services comprising of sourcing, introduction of Candidates and payment of fees to Contractor in relation to Services performed by Representative and accordingly, Employment Business does not accept any liability, howsoever arising, for the quality of services provided by Representative and Contractor, save for death or personal injury caused by Employment Business’s direct negligence.
11.5 Save where required by law, the parties hereto are not liable for-
a) any loss of profits, loss of business, loss of revenue, depletion of goodwill, pure economic loss, loss of anticipated savings, damages, charges, expenses and/or similar losses; or
b) any special, indirect or consequential losses;
11.6 Save as required by law, the sole aggregate liability of Employment Business to Client arising in connection with these Terms will be limited to [ten thousand pound sterling £10,000].
12. Indemnity
12.1 Client agrees to indemnify and keep indemnified Employment Business against any costs, claims or liabilities incurred directly or indirectly by Employment Business arising out of or in connection with these Terms including (without limitation) as a result of:
a) any breach of these Terms by Client (including its employees, subcontractors and agents); and
b) any breach by Client, or any of its employees or agents, of any applicable statutory provisions (including, without limitation, any statutory provisions prohibiting or restricting discrimination or other inequality of opportunity).
13. General
13.1 Employment Business is not liable for any delay or failure in performance of its obligations to Client where this arises from matters outside its reasonable control.
13.2 Any failure by Employment Business to enforce at any particular time any one or more of these Terms will not be deemed a waiver of such rights or of the right to enforce these Terms subsequently.
13.3 If any provision, clause or part-clause of these Terms is held to be invalid, void, illegal or otherwise unenforceable by any judicial body, the remaining provisions of these Terms will remain in full force and effect to the extent permitted by law.
13.4 No provision of these Terms will be enforceable by any person who is not a party to it pursuant to the Contract (Rights of Third Parties) Act 1999 (“the Act”). This does not, however, affect any right or remedy of a third party that exists or is available independently of the Act.
13.5 Without prejudice to clause 2.2, whereupon these Terms and/or Contractor Schedule/s are executed by the signature of duly authorised representatives of the parties this forms a binding agreement and will supersede all previous agreements or representations whether written or oral including without limitation Client’s terms and conditions, purchase order or other Client documents with respect to the provision of services set out herein provided by Employment Business. These Terms may not be modified or amended except in writing and signed by a duly authorised representative of Employment Business.
13.6 The parties acknowledge that AWR, Conduct Regulations and Off-Payroll are not inter-dependent and their applicability to Assignment does not determine supervision, direction or control by Client.
14. Notices
14.1 Any notice required to be given under these Terms will be delivered by hand, sent by facsimile, e-mail or prepaid first class post to the recipient at its fax number or address specified in these Terms (or as otherwise notified from time to time to the sender by the recipient for the purposes of these Terms)
14.2 Notices in connection with these Terms will be deemed to have been given and served,
a) if delivered by hand, at the time of delivery if delivered before 5.00pm on a business day or in any other case at 10.00am on the next business day after the day of delivery;
b) if sent by facsimile or by e-mail, at the time of despatch if despatched on a business day before 5.00 p.m. or in any other case at 10.00 a.m. on the next business day after the day of despatch, unless the transmission report indicates a faulty or incomplete transmission or, within the relevant business day, the authorised recipient informs the sender that the facsimile or e-mail message was received in an incomplete or illegible form; or
c) if sent by prepaid first-class post, 48 hours from the time of posting.
For the avoidance of doubt and for the purpose of this clause 14.2, a “business day” will mean any day excluding Saturday, Sunday and public holidays.
15. Governing Law
15.1 These Terms shall be construed in accordance with the laws of England and Wales and all disputes, claims or proceedings between the parties relating to the validity, construction or performance of these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
